Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Matan service, including the WhatsApp assistant, the web application at app.matan.fyi, and any connected integrations (collectively, the “Service”) provided by Matan (“Matan”, “we”, “us”, or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Matan provides a personal AI assistant for employees of a business, reachable over WhatsApp and through an in-app web chat. The assistant can perform actions on the third-party services you or your administrator choose to connect, such as Gmail, Google Calendar, and Google Sheets. The Service is a back-office tool and is not intended for communication with your end customers.

2. Eligibility and accounts

You must be at least 16 years old and authorized by your employer to use the Service. You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it. You agree to provide accurate information and to keep it up to date.

3. Connected integrations

When you connect a third-party service, you authorize Matan to access and act on that service on your behalf to fulfil your requests. Your use of each connected service remains subject to that service’s own terms. You are responsible for ensuring you have the right to connect any account and the data within it. You may disconnect an integration at any time from the Integrations page.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose.
• Attempt to gain unauthorized access to the Service, other accounts, or connected systems.
• Interfere with or disrupt the integrity or performance of the Service, including by overloading, scraping, or reverse-engineering it.
• Use the Service to access data you are not authorized to access, or in violation of any third-party service’s terms.

5. AI-generated content

The assistant uses large-language-model technology to generate responses and take actions. AI output can be inaccurate or incomplete. You are responsible for reviewing the assistant’s output and any actions it proposes before relying on them, particularly for actions that send messages, modify data, or have external effects. The Service is provided to assist you, not to replace your judgment.

6. Intellectual property

The Service, including its software, design, and content (excluding your data and the data from connected services), is owned by Matan and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. You retain all rights to your own data.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we handle your data, including data accessed through Google APIs.

8. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any output will be accurate.

9. Limitation of liability

To the maximum extent permitted by law, Matan will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the claim.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or its users. Upon termination, your right to use the Service ends; provisions that by their nature should survive (such as Sections 6, 8, 9, and 11) will survive.

11. Governing law

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The competent courts of Tel Aviv–Jaffa, Israel, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, notify you through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
